Board of Directors

In January 2016, KCTS Television became Cascade Public Media (“CPM”), a multi-platform public media organization that includes KCTS 9, Crosscut and Spark Public. CPM Board of Directors are responsible for the financial and broadcasting activities of the station. We remain a non-profit, community licensed, publicly supported organization committed to supporting social and civic engagement.

The Cascade Public Media Board of Directors is the governing board which provides oversight and management of the affairs, property and interest of the entities, providing guidance to management in the business matters of the enterprise of KCTS/KYVE. The board is comprised of between 12 and 21 Directors who serve for a term of three (3) years each.

  • Thursday, June 21, 2018

The meetings will begin at 1:00 p.m. unless otherwise noted and will be held at KCTS 9 unless otherwise specified.

Executive Committee

The Executive Committee is authorized to exercise the powers of the Board in emergencies or, when the Board Chair deems it neither practical nor feasible to call a special meeting of the Board. The Committee may also handle matters that are highly sensitive or require a high degree of confidentiality. Actions taken by the Executive Committee must be reported to the Board at the next regularly scheduled Board meeting.

Development Committee

The Development Committee will assist the Board and staff by providing oversight and guidance on the development of sustainable long-term financial resources and by assisting in fundraising efforts. They will also review periodic reports of management regarding the revenues and costs associated with fundraising efforts, including events, pledge activities, and sponsorships.

Finance & Audit Committee

The Finance and Audit Committee will assist the Board in fulfilling its responsibilities to provide oversight of management regarding the integrity of the financial statements, and the engagement, independence and performance of the independent auditors, financial analysts and investment advisors. It will also respond to certain matters raised pursuant to the KCTS 9 Television Whistleblower Policy.

Human Resources Committee

The Human Resources Committee helps the organization to attract, retain and motivate highly qualified management and staff. The Committee will assist the Board in establishing the overall HR and compensation strategy, reviewing and recommending terms of employee benefits plans, and facilitating the Board’s annual review of the performance of the President/CEO. Management retains the initiative to bring to the Committee issues relating to people, culture and human resources matters.

  • Thursday, September 7, 2017, from 12:30 p.m. - 2:00 p.m.
  • Monday, April 23, 2018, from 12:30 p.m. - 2:00 p.m.

Portions of the September 7, 2017 and April 23, 2018 meetings will be closed pursuant to 47 U.S.C. Sec. 396(k)(4) to discuss matters relating to individual employee(s).

Nominating & Governance Committee

The Nominating and Governance Committee will assist the Board by selecting candidates to be nominated to serve on the Board, and presenting their recommended slate of nominees to the Board for approval. The Committee shall also be responsible for reviewing overall governance of the Board.

Human Resources and Nominating & Governance Committee meetings will be held at KCTS at the times noted above unless otherwise noted.

Meetings of the Board of Directors and Board Committees or portions of those meetings at which matters relating to individual employees, proprietary information, or litigation, or certain other matters requiring the confidential advice of counsel, commercial or financial information obtained from a person on a privileged or confidential basis, or the purchase of property or services whenever the premature exposure of such purchase would compromise the business interests of Cascade Public Media may be closed to the public pursuant to 47 U.S.C. sec 396(k)(4).

If such meetings or portions of those meetings are closed, the specific reason for closing a meeting or portion of a meeting will be made available on this website, within 10 days of the closed meeting or closed portion thereof.


Community Advisory Board Members

The Community Advisory Board (CAB) mission is to inform CPM management and staff about community issues and stories appropriate for content development and engagement to support the communities we serve. The CAB is comprised of up to 20 members who resides throughout Central and Western Washington, and Canada. The Board is advisory only and has no authority over the management or operations of the station.

CAB Meetings are held twice per fiscal year at the KCTS 9 Television facility from 1:00 to 3:30 p.m. and are open to the public.
